JWC's Success-Based Fee Model

JWC's competitive success-based fee model links our compensation directly to the outcome of your transaction and does not distinguish between capital classes, allowing us to provide unbiased capital structuring advice.

JWC Engagement Criteria

JWC will consider a potential deal to be in the center of our fairway if it contains the following elements:

  • Proprietary deal in the final negotiation stage or an auction/brokered deal under LOI
  • Industrials, B2B/B2C services, or healthcare services
  • Adjusted EBITDA >= $4 million
  • Engagement raise amount >=$15 million
  • Credible value creation thesis that results in projected 5-year MoIC>=4.0x
  • Strong leadership story (sponsor, operator, and management team)
  • Customer and supplier diversity
  • Low capex requirement
  • Meaningful cash investment by the sponsor (sources can be friends and family)
